Tourism Fund (TF) is a State Corporation established under the Tourism Act, 2011 which came into operation on 1st September, 2012 vide special issue Kenya Gazette Supplement No. 93 of 24th August, 2012.
Qualifications
- Master’s Degree in Law from a recognized university;
- Bachelor’s Degree in Law from a recognized university;
- Post Graduate Diploma in Law from the Council of Legal Education
Professional Qualifications / Membership to professional bodies
- Advocate of the High Court of Kenya;
- Member, Law Society of Kenya;
- Hold current practicing certificate;
- Member, Institute of Certified Public Secretary of Kenya (ICPSK) in good standing;
- Course in senior management lasting not less than four (4) weeks;
Responsibilities
Managerial / Supervisory Responsibilities
- Advice the Board on Corporate Governance including conduct of meetings, declarations of conflict of interest, Board evaluations and reporting as well as Board appointments by providing legal guidance to ensure compliance and avoid violations of the law
- Advice the CEO on implementation of Board decisions and statutory reporting by providing timely legal guidance to ensure compliance and avoid adverse evaluations and penalties for underperformance as well as guarding against legal penalties for noncompliance
- Oversee monitoring of corporate governance reporting schedules and provide a systematic updating mechanism
- Steer development of work plans for the department by scheduling operations and allocating work to legal officers for proper functioning of the department to safeguard the assets, personnel and processes of the Fund from legal liability and regulatory penalties
- Lead in preparation of budgets for legal services by submitting budget estimates and plans to ensure allocation of adequate resources to facilitate the operations of the department
- Design and carry out regular Legal Audits to ensure compliance with the law by designing the appropriate tool and verifying compliance standards with all departments
- Manage legal officers by monitoring the execution of their duties as well as identifying professional training and exposure to ensure the personnel are well equipped to handle legal matters affecting in the Fund
- Spearhead the Implementation of the constitution and the TF Act and other relevant laws
- Spearhead development and negotiations of partnership instruments between TF and other partners e.g. the county Governments;
- Oversee the implementation of the Code of Ethics for the Board;
- Oversee the implementation of Governance structures in the organization;
- Liaison with other Government Agencies on litigation.
- Custodian of Company documents, the Company seal and register;
- Guide development and implementation of the Board manual, Terms of Reference and the Code of Ethics for both the Board of Directors and Board Committees;
- Formulate and develop legal strategy for the legal department to ensure legal policy guidelines are implemented and adhered to.
